Retailer Terms & Conditions

Ask & Embla LLC (“A&E”) owns the right of invention, patent and trademark, production and distribution of Sleepod products.

U.S. based retail store(s) (“Retailer(s)”) that are purchasing from A&E.

A&E requires all retailers to agree to the following policies. By agreeing to these policies, merchants will be eligible to purchase products at wholesale pricing. Guidelines set forth are subject to change. Our relationship as manufacturer and “retailer” is an “at will” agreement and can be terminated at any time.

Authorized Web Retailers

Internet sales on any third party web sites (e.g. EBay, Amazon, Easy etc.) are not permitted unless (a) receive prior written approval from A&E (b) only be sold at a set, non-auction price (c) only be sold through clearly identifiable retailer storefronts. A&E reserves the right to limit the number of authorized sellers through these channels.

Minimum Order Quantity

In order to become establish a wholesale account you must order in a pack quantity of 2 per sku, and following orders must have a pack quantity of a minimum of 4 per SKU.

Minimum Advertised Price Policy

In order to preserve Askr & Embla Sleepod brand quality, the following MAP Policy has been established for the Sleepod product line. Retailers and distributors must comply with MAPP when advertising any items purchased from A&E. “Advertising” means print, direct mail, broadcast, and electronic media including internet e-commerce sites, and Internet displays, including banner ads, broadcast emails, automatic emailed price lists, destination pages and third-party sites. In-store advertising is not covered by this policy. A&E reserves the right to end a sale agreement with any Retailer who advertises A&E Sleepod items below MAPP.

Promotional Sales

Promotional pricing is acceptable on a limited basis. Discounted/sale price must be identified as a limited time “sale” with a start date and end date included in the listing. Sales periods shall be no longer than 7 days in length and occur no more than once per quarter. All product specific sales must be approved in advance by A&E.

Photos and Images

All approved retailers are given limited permission to use A&E material, including product images and logos as long as the images are provided to you by A&E. This material shall be used for the sole purpose of the promotion and advertisement of Sleepod.

Payment

Retailers placing orders must provide payment before the initial shipment. A&E currently accepts payment via PayPal and Check. Payment is due upon receipt of invoice and is non-
refundable. Should an invoice go unpaid for seven (7) days, A&E retains the
right to charge a $30 late fee. Past due accounts will incur interest at the rate of 1.5% per month or 18% annually. Collection procedures will be taken against accounts that are unpaid within 30 days. All merchandise will remain property of A&E until payment has been made in full. Cost of goods does not include shipping, insurance, and customs (if applicable).

Shipping

Shipping cost is the responsibility of buyer. The risk of loss from any casualty to the Goods, regardless of the cause, will be the responsibility of the Buyer once the goods have been shipped by the Seller.

Returns

Returns or exchanges are accepted only with prior written agreement from A&E. Only if the goods are in original packaging and with all labels. Buyer pays for return shipping.

Warranty

Seller warrants that the goods sold hereunder are new and free from substantive defects in workmanship and materials. Seller's liability under the foregoing warranty is limited to replacement of goods or repair of defects at Seller's sole option within the first 12 months after the unit is being sold. Seller thereof, pays for return shipping of the replaced or repaired goods, if applicable. No other warranty, expressed or implied, is made by Seller, and none shall be imputed or presumed. Warranty does not cover regular wear, tear or abuse, failing to follow use and care instructions.

Violation of any part of this agreement may result in immediate termination of your account. Should this occur, all unpaid invoices shall be due and paid in full immediately. All sales orders will be subject to the laws of the state of California, regardless of its place of execution or destination. By buying the products at wholesale pricing, the distributor, reseller, retailer and or dealer, acknowledges receipt and consent to all terms described above.
